Sako Terms of Service

Your agreement for using Sako's stablecoin wallet and financial services

1. PREAMBLE

Sako (the "Application") is a digital wallet built for African immigrants in Europe to manage all aspects of their finances from a single financial hub. These Terms and Conditions (the "Agreement") form a legal contract between you ("User") and SAUKI INC, a general entity incorporated in the State of Delaware, United States, with its headquarter located at 251 LITTLE FALLS DRIVE, WILMINGTON, New Castle, DE, 19808.

The Application and its associated Services are provided by SAUKI INC and its affiliated entities Sauki SAS (France) and Sauki SAS (Niger). By accessing or using the Application, you acknowledge that you have read, understood, and agreed to these Terms and Conditions as well as our Privacy Policy, which is incorporated herein by reference.

Important: By accessing or using the Sako application, you agree to be bound by this Agreement in its entirety. This Agreement incorporates by reference our Privacy Policy, Fee Schedule, and Bridge Account Terms and Conditions.

2. ACCESS TO THE APPLICATION

Availability: The Application is accessible 24 hours a day, seven days a week, except in cases of scheduled maintenance, unexpected technical issues, or legal obligations.

Right to Suspend or Terminate: We reserve the right to suspend or permanently terminate your access to the Application without prior notice for reasons including, but not limited to, maintenance, security updates, or regulatory requirements.

3. REGISTRATION AND USER ACCOUNT

Eligibility: To register, you must be at least 18 years old and a resident of the European Economic Area (EEA) or other supported jurisdictions as specified in the Application.

Onboarding Process: Registration requires you to provide personal details (such as name, date of birth, and contact information) and complete a Know Your Customer (KYC) process, which includes scanning an identity document and completing verification procedures required by our service provider Bridge.

User Responsibility: You agree to provide accurate information and promptly update any changes. You are responsible for maintaining the confidentiality of your account credentials and secret code.

4. SAKO SERVICES

4.1 Stablecoin Wallet Services

Through our partnership with Bridge, Sako provides you with access to stablecoin wallet services that allow you to:

  • Store and manage USDC (USD Coin) and other supported stablecoins
  • Send and receive stablecoins to other Sako users
  • View real-time balance and transaction history
  • Access your wallet through secure authentication methods

Your stablecoin wallet is created and maintained by Bridge in accordance with their Account Terms and Conditions. All funds are held by Bridge, a regulated Money Services Business registered with FinCEN.

4.2 Remittance Services to Africa

Sako enables you to send money to recipients in eligible African countries through our secure platform. These services include:

  • Cross-border transfers to bank accounts in Africa
  • Mobile money transfers where supported
  • Real-time exchange rate information
  • Transaction tracking and confirmation

4.3 Airtime and Bill Payment Services

Through the Application, you can:

  • Purchase airtime credit for mobile phones in supported countries
  • Pay utility bills and other services
  • Send airtime directly to family and friends

4.4 Peer-to-Peer Payments

Sako users can send stablecoins to other verified Sako users instantly and securely within the platform.

5. THIRD-PARTY SERVICE PROVIDERS

Bridge Partnership: Sako utilizes Bridge's infrastructure to provide stablecoin wallet services. Bridge is a regulated Money Services Business that handles the custody and transfer of your digital assets. By using Sako, you agree to Bridge's Terms and Conditions.

Service Provider Responsibilities: While we facilitate access to these services, the underlying stablecoin custody and transfer services are provided by Bridge. We are not responsible for Bridge's services beyond our role as a technology facilitator.

Third-Party Terms: Your use of Bridge's services through Sako is subject to Bridge's separate terms and conditions, privacy policy, and regulatory compliance requirements.

6. FINANCIAL TERMS AND FEES

Fee Structure: Sako may charge fees for certain services, including but not limited to:

  • Transaction fees for remittances
  • Currency conversion fees
  • Airtime purchase fees
  • Bill payment processing fees

Fee Disclosure: All applicable fees will be clearly displayed before you complete any transaction. You agree to pay all fees associated with your use of the Services.

Third-Party Fees: Additional fees may be charged by our service providers (such as Bridge) or receiving institutions. These will be disclosed where possible before transaction completion.

7. USER RESPONSIBILITIES AND PROHIBITED ACTIVITIES

7.1 Authorized Use

You agree to:

  • Use Sako services only for personal, lawful purposes
  • Maintain accurate account information
  • Keep your security credentials confidential
  • Verify recipient information before sending transfers
  • Comply with all applicable laws and regulations

7.2 Prohibited Activities

You must not use Sako services for:

  • Any unlawful purpose or activity
  • Money laundering or terrorist financing
  • Fraudulent transactions
  • Purchasing illegal goods or services
  • Acting as a payment intermediary for third parties without authorization
  • Circumventing any laws, regulations, or our security measures
  • Using the service to manipulate cryptocurrency markets

8. STABLECOIN RISKS AND DISCLAIMERS

Volatility Risk: While stablecoins are designed to maintain stable value, they may still experience price fluctuations. You acknowledge and accept the risks associated with holding and transacting in stablecoins.

Technology Risk: Blockchain and cryptocurrency technologies involve inherent risks, including but not limited to network congestion, technical failures, and irreversible transactions.

Regulatory Risk: The regulatory landscape for stablecoins and digital assets is evolving. Changes in regulations may affect the availability or functionality of our services.

No Investment Advice: Sako does not provide investment, financial, or legal advice. You are responsible for making your own informed decisions regarding the use of our services.

9. PRIVACY AND DATA PROTECTION

Incorporation by Reference: Our Privacy Policy, last updated on March 26, 2025, is an integral part of this Agreement. By using the Application, you consent to the collection, use, storage, and disclosure of your personal data as described therein.

KYC and AML Compliance: We are required to collect and verify your identity information to comply with anti-money laundering (AML) and Know Your Customer (KYC) regulations. This information may be shared with our service providers and regulatory authorities as required by law.

Data Security: We implement industry-standard security measures to protect your personal and financial information, including encryption and secure data storage.

10. ACCOUNT SECURITY

You are responsible for maintaining the security of your account by:

  • Keeping your login credentials confidential
  • Using strong passwords and enabling two-factor authentication when available
  • Not sharing access to your account with others
  • Notifying us immediately of any unauthorized access or suspicious activity
  • Keeping your contact information up to date

Unauthorized Access: You agree to notify us immediately at support@sako.money if you suspect any unauthorized access to your account.

11. LIMITATION OF LIABILITY

Service Availability: While we strive to ensure that the Application is available and functions properly at all times, our obligations are on a "best efforts" basis. We do not guarantee uninterrupted or error-free service.

Exclusions: To the maximum extent permitted by law, SAUKI INC shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Application.

Force Majeure: We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, acts of government, cyber attacks, or technical failures of third-party providers.

12. INTELLECTUAL PROPERTY

Ownership: All software, designs, trade names, trademarks, logos, and content provided through the Application are the exclusive property of SAUKI INC or its licensors.

License: You are granted a limited, non-transferable, and non-exclusive license to use the Application for your personal, non-commercial use, subject to your compliance with these Terms and Conditions.

13. TERMINATION

User Termination: You may terminate your account at any time by contacting us at support@sako.money. We will process account closure within 30 days, subject to completion of any pending transactions and compliance requirements.

Termination by Sako: We may terminate this Agreement with or without cause by providing reasonable notice, or immediately in cases of breach of these terms, suspected fraudulent activity, or legal requirements.

Effect of Termination: Upon termination, your access to the Application will be revoked, and any remaining balances will be returned in accordance with applicable regulations and our service providers' procedures.

14. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law: This Agreement is governed by and construed in accordance with the laws of the State of Delaware and the United States, without regard to its conflict of laws principles.

Jurisdiction: Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the federal or state courts located in New Castle County, Delaware.

Dispute Resolution: Before initiating legal action, you are encouraged to contact our support team at support@sako.money to seek an amicable resolution.

15. MODIFICATIONS TO THE AGREEMENT

Right to Amend: SAUKI INC reserves the right to modify or update these Terms and Conditions at any time. Significant changes will be communicated to users through the Application or by email.

Acceptance: Your continued use of the Application after any modifications constitutes your acceptance of the updated terms. If you do not agree to the changes, you may terminate your account before the changes take effect.
